No Compete / Non-Disclosure Agreement
This Agreement is made and entered into as of [Current Date], by and between [LogicalYou.net] (“Disclosing Party”), and [Customer/Client] (“Receiving Party”).
1. Purpose
The purpose of this Agreement is to prevent the unauthorized disclosure of confidential and proprietary information belonging to the Disclosing Party.
2. Confidential Information

- Proprietary software, algorithms, and technical specifications
- Any other information marked as “Confidential” by the Disclosing Party

3. Obligations of Receiving Party
- Not to disclose, share, or distribute Confidential Information to any third party.
- To take reasonable measures to protect the confidentiality of information.
- To return or destroy Confidential Information upon request.
4. Non-Compete Clause
The Receiving Party agrees not to use the Confidential Information to engage in, support, or create a competing business for 10 years following the termination of this Agreement.
5. Non-Solicitation Clause
The Receiving Party shall not, directly or indirectly, solicit or hire employees, clients, or suppliers of the Disclosing Party based on information obtained under this Agreement.
6. Indemnification Clause
The Receiving Party shall indemnify and hold harmless the Disclosing Party from any and all damages, losses, or costs, including legal fees, resulting from the unauthorized disclosure or misuse of Confidential Information.
7. Survival Clause
The confidentiality obligations outlined in this Agreement shall continue beyond the expiration or termination of this Agreement.
8. Financial Penalty
In the event of unauthorized disclosure, the Receiving Party shall be liable for a financial penalty of $1,000,000.00 per occurrence. In addition, the Receiving Party agrees to pay any and all legal fees incurred by the Disclosing Party in bringing litigation against the Receiving Party.
9. Arbitration Clause
Any disputes arising from this Agreement shall be resolved through binding arbitration in NJ at the will of the Disclosing Party before a mutually agreed arbitrator.
10. Exceptions Clause
This Agreement does not apply if the Confidential Information:
- Is already publicly available
- Is disclosed with prior written consent from the Disclosing Party
- Must be disclosed by law, court order, or governmental investigation (with prior notice to the Disclosing Party)
11. Ownership Clause
All intellectual property remains the exclusive property of the Disclosing Party. The Receiving Party acknowledges that no ownership rights are transferred under this Agreement.
12. Term & Termination
This Agreement remains in effect for 10 years unless terminated earlier by written notice.
13. Governing Law
This Agreement shall be governed by the laws of New Jersey.
